Use License

Permission is granted to temporarily download one copy of the materials on BeatusFi's platforms for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modify or copy the materials;
• Use the materials for any commercial purpose or for any public display;
• Attempt to reverse engineer any software contained on BeatusFi's platforms;
• Remove any copyright or other proprietary notations from the materials; or
• Transferring the materials to another person or "mirror" the materials on any other server.

This will let BeatusFi to terminate upon violations of any of these restrictions. Upon termination, your viewing right will also be terminated and you should destroy any downloaded materials in your possession whether it is printed or electronic format. The Platforms and Campaign are open to individuals who are at least 18 years old, capable of entering into legally binding agreements, and are not restricted from participating under applicable laws. Notably, individuals residing in, or citizens of, the United Kingdom and the United States of America are prohibited from using our Platforms and participating in the Campaign due to regulatory constraints.

Intellectual Property Rights

All content made available through the BeatusFi campaign, including but not limited to texts, graphics, logos, icons, images, audio clips, digital downloads, and software, is the property of BeatusFi or its content suppliers and protected by international copyright and intellectual property laws. BeatusFi, its licensors, or the content providers retain all rights to the campaign content and materials.

User Conduct and Restrictions

As a participant in the BeatusFi campaign, you agree not to engage in the following activities:

• Reproduce, duplicate, copy, sell, resell, visit, or otherwise exploit the campaign or its content for any commercial purpose without express written consent from BeatusFi.
• Modify, adapt, translate, reverse engineer, decompile, disassemble any portion of the campaign content or attempt to derive any source code or underlying ideas or algorithms of any part of the content.
• Use any robot, spider, site search/retrieval application, or other devices to retrieve or index any portion of the campaign content or collect information about users for any unauthorized purpose.
• Submit content that falsely expresses or implies that such content is sponsored or endorsed by BeatusFi.
• Use the campaign for any illegal or unauthorized purpose or engage in, encourage, or promote any illegal activity, or any activity that violates these Terms.

BeatusFi’s Enforcement Rights

‍

BeatusFi reserves the right, but not the obligation, to monitor your compliance with these terms. We may take any action we deem necessary to ensure the campaign’s integrity and security, including suspending your access, removing content, or terminating participation. We also reserve the right to cooperate with legal authorities and third parties in the investigation of alleged wrongdoing, including disclosing the identity of the user behind a particular account.

Termination and Jurisdiction

BeatusFi may terminate your access to the BeatusFi campaign at any time without notice, for any reason, including breach of these Terms. Upon termination, all rights granted to you under these Terms will cease immediately. This agreement is governed by the laws of [Governing Law Country], without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the courts located within [Jurisdiction Location] for the resolution of all disputes arising from or related to these Terms or your participation in the campaign.

Warranty Disclaimers

THE BeatusFi CAMPAIGN, INCLUDING ALL ITS SERVICES AND FEATURES, IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITH NO WARRANTIES WHATSOEVER, EITHER EXPRESS OR IMPLIED. BeatusFi EXPRESSLY DISCLAIMS TO THE FULLEST EXTENT PERMITTED BY LAW ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. We do not guarantee that the campaign or any of its content will meet your requirements, or that the operation will be uninterrupted, secure, or free from errors. Furthermore, we make no warranties regarding the accuracy, reliability, completeness, or timeliness of the campaign’s content or any information or materials provided through it. Your use of the campaign and its content is at your sole risk and discretion.

Indemnity

By participating in the BeatusFi campaign, you agree to indemnify, defend, and hold harmless BeatusFi, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, debt, and expenses (including but not limited to attorney’s fees) arising from: (a) your use of and access to the campaign; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any copyright, privacy, or property right; or (d) any claim that your campaign content caused damage to a third party. This defense and indemnification obligation will survive these Terms and your use of the campaign.

Limitation of Liability

• TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BeatusFi, ITS AFFILIATES, DIRECTORS, EMPLOYEES, PARTNERS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE CAMPAIGN; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE CAMPAIGN; (iii) ANY CONTENT OBTAINED FROM THE CAMPAIGN; AND (iv) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
• IN NO EVENT WILL BeatusFi’S AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE CAMPAIGN EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU HAVE PAID US IN THE PAST TWELVE MONTHS.
• THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN BeatusFi AND YOU.

Arbitration

‍

In the event of any dispute arising out of or related to these Terms and Conditions, or any breach thereof, whether in contract, tort, or otherwise at law or in equity, such dispute shall be resolved exclusively through final and binding arbitration under the rules of the Bucharest Arbitration Court or another arbitration service mutually agreed upon by both parties. The arbitration shall be conducted in Bucharest, Romania, by a single neutral arbitrator. The arbitrator’s decision shall be final and binding, and a judgment may be entered in any court having jurisdiction thereof. Should any legal or equitable action arise out of these Terms, the prevailing party shall be entitled to recover its costs and reasonable attorney fees. This arbitration provision will survive the termination or expiration of these Terms and Conditions.

Class Action Waiver

All disputes under these Terms and Conditions must be resolved on an individual basis; class arbitrations, class actions, and any other representative actions are not permitted. By agreeing to these Terms, parties forfeit their right to initiate or participate in any class or collective action against the other. Unless agreed upon otherwise by both parties, the arbitrator may not consolidate more than one individual’s claims and may not oversee any form of representative or class proceedings.

Liability Disclaimer

General Terms

• Reservation of Rights: BeatusFi and its licensors retain all rights, title, and interest in and to the Campaign and its content, protected by copyright, trademark, and other laws. You agree not to infringe upon these rights or remove any copyright or trademark notices from the Campaign materials.
• Entire Agreement: These Terms represent the entire agreement between you and BeatusFi regarding the Campaign, superseding any prior agreements. If any provision is deemed invalid or unenforceable, the remaining provisions will remain in effect.
• Notices: Notices to participants will be issued through the Campaign platforms or via email to the address provided upon registration.
• Amendments to Rewards: BeatusFi reserves the right to modify, suspend, or discontinue the distribution of rewards without prior notice, at its sole discretion.
• Termination for Misuse: BeatusFi reserves the right to terminate your participation in the Campaign if you are found to be manipulating the system for personal gain. Such termination will be without the right to appeal.
• Waiver: The failure by BeatusFi to enforce any right or provision of these Terms will not constitute a waiver of future enforcement of that right or provision.
